Welcome to Sharelio. These Terms of Service ("Terms") govern your use of our website, services, and applications (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

1. Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password you use to access the Service and for any activities or actions under your password. We encourage you to use "strong" passwords (passwords that use a combination of upper and lower case letters, numbers, and symbols) with your account.

3. Service Plans and Billing

Sharelio offers the following service plans:

• Free: Basic features with limited upload capacity and 7-day file retention.
• Pro: Enhanced features with increased capacity and 30-day file retention at $5 per month.
• Business: Premium features with maximum capacity and unlimited file retention at $10 per month.

By selecting a paid subscription, you agree to pay the subscription fees indicated for that service. Subscription fees are billed in advance on a monthly or annual basis depending on the type of subscription you select.

All prices displayed include applicable taxes unless otherwise indicated.

4. Acceptable Use

You agree not to use the Service to:

• Violate any laws or regulations
• Share, distribute, or provide access to content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Transmit any material that contains malware, viruses, or any code designed to harm or gain unauthorized access to systems or data
• Impersonate another person or entity or falsely state your affiliation with a person or entity
• Attempt to gain unauthorized access to the Service or related systems
• Process personal data through the Service in a way that violates applicable data protection laws, including the GDPR

5. Content Ownership and License

You retain all rights to the content you upload through our Service. By uploading content, you grant Sharelio a worldwide, non-exclusive, royalty-free license to use, store, and process that content solely for the purpose of providing the Service to you.

You are solely responsible for all content that you upload, share, or make available through the Service.

If you upload content that includes personal data of other individuals, you represent and warrant that you have obtained all necessary consents and authorizations required under applicable privacy laws, including the GDPR, to allow us to process such data as described in our Privacy Policy.

6. Data Processing Terms

To the extent that we process any personal data on your behalf when you upload content that includes personal data of other individuals, you and we acknowledge that you are the data controller and we are the data processor of such personal data.

We will process such personal data in accordance with these Terms and only on your documented instructions, including with regard to transfers of personal data to a third country or an international organization, unless otherwise required by EU or Member State law to which we are subject. We will ensure that persons authorized to process the personal data have committed themselves to confidentiality.

7. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or request account deletion through the application.

Upon termination of your account, we will delete your personal data in accordance with our data retention policies described in our Privacy Policy, unless we are required by law to retain certain information.

9. Limitation of Liability

This limitation of liability does not exclude our liability for matters where limitation would be unlawful under applicable law, including liability for death or personal injury caused by negligence or for fraud or fraudulent misrepresentation.

10. Applicable Law

These Terms shall be governed and construed in accordance with the laws applicable in your country of residence, without regard to its conflict of law provisions.

For users in the European Union, nothing in these Terms shall deprive you of the protections granted by the mandatory provisions of the law of the country in which you reside.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
